1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the WholeStack website, platform, project workspaces, AI features, preview features, build workflows, publishing workflows, billing tools, and related services operated by WHOLESTACK AI CORP. ("WholeStack," "we," "us," or "our").
By accessing or using WholeStack, you agree to these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Accounts
You must provide accurate account information and keep your login credentials secure. You are responsible for activity that occurs under your account, including actions taken through connected third-party services or tokens you provide.
We may suspend or restrict access if we reasonably believe your account is being used in violation of these Terms, to compromise service security, or to create risk for WholeStack or other users.
3. Use of the Service
WholeStack provides tools for AI-assisted app generation, project editing, previewing, building, and publishing. You may use the service only in compliance with applicable law and these Terms.
You may not use WholeStack to violate the law, infringe intellectual property rights, gain unauthorized access, disrupt the platform, abuse compute resources, submit malicious code intended to harm others, or attempt to reverse engineer or interfere with protected service components except as allowed by law.
4. Your Content and Responsibilities
You retain ownership of the prompts, files, text, images, credentials, configuration, and other content you submit to the service ("Your Content"), subject to the rights you grant below.
You grant WholeStack a limited right to host, process, transmit, copy, transform, and display Your Content as necessary to operate the service, provide AI-assisted outputs, run previews, build and publish workflows, support your account, and enforce these Terms.
You are responsible for ensuring you have all rights, consents, and permissions needed for Your Content, including third-party code, assets, API credentials, app store credentials, and deployment or publishing materials.
5. AI Outputs and Human Review
WholeStack may generate code, text, configurations, and recommendations using AI systems. AI outputs can contain errors, omissions, insecure patterns, or content that is unsuitable for your use case.
You are responsible for reviewing, testing, and validating all outputs before using them in development, production, compliance, security, or publishing workflows. WholeStack does not guarantee that AI outputs are correct, complete, merchantable, or fit for a particular purpose.
6. Billing, Subscriptions, and Credits
Certain features require a paid subscription or the purchase of credits. By purchasing a subscription or credits, you authorize us and our payment processor to charge the applicable fees, taxes, and renewals in accordance with the pricing presented at checkout.
Subscriptions renew automatically unless canceled in accordance with the billing terms presented through Stripe or the platform. Credits, including purchased credits and accumulated balances, are non-cash, non-refundable except where required by law or expressly stated otherwise.
We may change pricing, plan features, limits, or credit packaging prospectively. Changes will not retroactively alter benefits already properly granted for completed purchases unless required for fraud prevention, operational error correction, or legal compliance.
7. Third-Party Services
WholeStack integrates with third-party services such as authentication providers, AI model providers, Stripe, Expo, Apple, Google, GitHub, hosting providers, and other infrastructure or tooling providers. Your use of third-party services may also be subject to those providers' terms and policies.
WholeStack is not responsible for third-party outages, policy decisions, suspensions, API changes, pricing changes, or account restrictions that affect your ability to use related workflows.
8. Intellectual Property
WholeStack and its licensors retain all rights, title, and interest in the service, including software, design, branding, documentation, and platform technology, except for Your Content and rights expressly granted to you.
Subject to these Terms and your compliance with them, WholeStack grants you a limited, non-exclusive, non-transferable right to access and use the service during your subscription or authorized access period.
9. Suspension and Termination
You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms, create risk to the platform, fail to pay fees when due, or if we are required to do so by law.
Upon termination, your right to use the service ends immediately. Certain provisions of these Terms survive termination by their nature, including provisions related to payments owed, ownership, disclaimers, liability limits, disputes, and governing law.
10. Disclaimers
The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. WHOLESTACK AI CORP. disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, WHOLESTACK AI CORP. and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunity arising out of or related to the service or these Terms.
To the maximum extent permitted by law, the aggregate liability of WHOLESTACK AI CORP. for all claims arising out of or relating to the service or these Terms will not exceed the greater of the amounts you paid to WholeStack during the twelve months before the event giving rise to the claim, or one hundred Canadian dollars (CAD $100).
12. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules.
Unless prohibited by applicable law, you agree that disputes arising out of or relating to these Terms or the service will be resolved exclusively in the courts located in Ontario, Canada, and you submit to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the service, by email, or by other reasonable means. Your continued use of the service after updated Terms become effective means you accept the updated Terms.
